Terms of Sale

Effective Date: July 2, 2026 — Shandong HUAYU Vehicle Co., Ltd.

These Terms of Sale ("Terms") govern all purchases and orders placed with Shandong HUAYU Vehicle Co., Ltd.("HUAYU", "we", "us"). By placing an order or making a purchase, you ("the Customer") agree to be bound by these Terms. Please read them carefully before completing any transaction.

1. Contract Formation

All sales and orders constitute a legal contract between the Customer and HUAYU. The Customer accepts these Terms by placing an order, submitting an inquiry that results in a confirmed order, or making a payment. A binding contract is formed when HUAYU issues the proforma invoice and confirms receipt of your 30% deposit.

2. Product Descriptions and Pricing

  • All product descriptions, specifications, and images on our website are provided for reference purposes. While we strive for accuracy, minor variations may occur in the final manufactured product.
  • Prices displayed on our website are in US Dollars (USD) and are quoted FOB Qingdao, China. On request we quote CFR or CIF to any destination port (CFR adds sea freight; CIF adds sea freight and marine insurance); we reply within 24 hours. Customs duties, VAT, and import taxes at the destination country are the buyer's responsibility.
  • All product descriptions and pricing are subject to change without prior notice at the sole discretion of HUAYU. The price confirmed in your order agreement or proforma invoice is the binding price for that order.

3. Payment Terms

Our standard payment term for semi trailer orders is telegraphic transfer (T/T):

  • T/T, 30/70 (default): A 30% deposit confirms your order, and the 70% balance is paid before shipment. Once your trailer is finished, we send you photos and videos of the completed unit for final confirmation before you pay the balance.
  • L/C at sight: For larger orders we also accept an irrevocable letter of credit at sight.

All payment terms are stated on the proforma invoice, together with the full specification. For repeat customers, HUAYU may offer flexible payment arrangements on a case-by-case basis.

4. Order Changes and Cancellations

  • Before production starts: Order modifications or cancellations are normally accepted, subject to HUAYU's confirmation. A canceled order receives a full refund of the deposit.
  • After production has started: Changes may result in additional costs and delays. If you cancel, HUAYU retains the documented material and labor cost from the deposit and refunds the remainder.
  • After shipment: Orders cannot be canceled once the trailer has shipped; our return policy governs from that point. Refunds are returned by T/T bank transfer to the remitting account within 7–10 business days after confirmation. See our Refund Policy for full refund terms and the post-arrival defect process.

5. Inspection and Acceptance

Before dispatch, HUAYU will provide photographs and videos of the finished product for the Customer's remote inspection. Customers are also welcome to visit our factory in Liangshan, Shandong to inspect products in person before shipment. The Customer's confirmation of the inspection materials — or completion of an in-person inspection — constitutes acceptance of the product for shipping.

6. Intellectual Property

All content on our website — including text, images, product designs, technical drawings, logos, and videos — is the property of Shandong HUAYU Vehicle Co., Ltd. and is protected by China and international copyright laws. You may not copy, reproduce, distribute, or publish any material from this website without prior written permission from HUAYU.

7. Limitation of Liability

  • HUAYU's total liability for any claim arising from a sale shall not exceed the purchase price of the product in question.
  • HUAYU shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, or loss of use.
  • HUAYU is not responsible for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, war, government actions, epidemics, port congestion, or carrier disruptions.

8. Force Majeure

Neither party shall be liable for failure or delay in performing any obligation under these Terms if such failure or delay results from events beyond reasonable control, including natural disasters, acts of terrorism, war, epidemics, government restrictions, strikes, or transportation disruptions. The affected party shall notify the other party promptly and make reasonable efforts to resume performance.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or related to these Terms shall first be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its then-effective rules.

10. Personal Information

During the course of business, we may collect personal information such as your name, email, address, and phone number. This information is used solely for order processing, customer communication, and service improvement. We do not sell or rent your personal information to third parties.
